FL Statute Title XL Chapter 720.303(2)

Background
In Florida, POAs are regulated by the Florida Homeowners Association Act found in Title XL Chapter 720 of the Florida Statutes. This act applies to all corporations responsible for community areas and membership is made up of parcel owners or their agents.
BOD meetings
A meeting of the Board of Directors occurs whenever a quorum of the board gathers to conduct association business.
Notice
Notices of all board meetings must specifically identify agenda items for the meetings and must be posted in a conspicuous place in the community (Outside POA Office) at least 48 hours in advance of a meeting, except in an emergency. In the alternative, if notice is not posted in a conspicuous place in the community, notice of each board meeting must be mailed, delivered, or electronically transmitted to each member at least 7 days before the meeting.

Note:  Meeting at which special assessments will be considered or at which amendments to rules regarding parcel use will be considered must be mailed, delivered, or electronically transmitted to the members and posted conspicuously in the community not less than 14 days before the meeting.

Who can attend?
Members have the right to attend all BOD meetings and to speak at any meeting for at least 3 minutes with reference to all items included on the agenda.  Members desiring to speak, must sign up to speak prior to the meeting.

Note:  Meetings between the board or a committee and the association’s attorney to discuss proposed or pending litigation or meetings of the board held for the purpose of discussing personnel matters are not required to be open to the members other than directors.
